Terms of Service

1. Agreement to Terms

By downloading, installing, or using the Matter AI mobile application (“App”) or accessing our website and services at matterai.app (“Website”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our services.

“Services” refers collectively to the App, Website, and all features, tools, and content provided by Matter AI, Inc. (“Matter AI,” “we,” “us,” or “our”).

2. Service Description

Matter AI is a health and fitness technology platform that provides:

• Readiness and recovery scoring based on biometric data including heart rate variability (HRV), resting heart rate, sleep analysis, and training load
• AI-generated workout recommendations adapted to an individual's current physiological state
• Coach-athlete management tools enabling coaches to monitor team readiness, assign workouts, and communicate with athletes
• AI chat assistant for interpreting health and performance data
• Integration with third-party wearable devices including Apple Watch, WHOOP, and Polar

The Services use artificial intelligence and machine learning models to analyze data and generate recommendations. These outputs are informational and educational in nature.

3. Health and Medical Disclaimer

Matter AI is NOT a medical device, medical service, or substitute for professional medical advice, diagnosis, or treatment.

• The readiness scores, recovery assessments, sleep analyses, workout recommendations, and AI-generated insights provided by Matter AI are for informational and educational purposes only.
• Do not rely on Matter AI to make medical decisions. Always consult a qualified healthcare provider before starting, modifying, or discontinuing any exercise program, especially if you have a medical condition, injury, or health concern.
• Matter AI does not diagnose, treat, cure, or prevent any disease or medical condition.
• If you experience chest pain, dizziness, severe fatigue, or any symptoms of a medical emergency, stop exercising immediately and seek medical attention. Do not wait for or rely on any output from Matter AI.
• The AI models powering Matter AI may produce inaccurate, incomplete, or inappropriate recommendations. You are solely responsible for evaluating the suitability of any recommendation for your individual circumstances.
• Coaches using Matter AI remain solely responsible for the health and safety of their athletes. Matter AI does not replace a coach's professional judgment.

4. Eligibility

You must be at least 13 years old to use Matter AI. If you are between 13 and 18 years old, you must have the consent of a parent or legal guardian. By using the Services, you represent that you meet these requirements.

Coaches creating team accounts are responsible for ensuring that any minors on their roster have appropriate parental or guardian consent before using the Services.

5. User Accounts

5.1 Account Creation

You may create an account using Apple Sign-In, email with password, or email magic link. You agree to provide accurate information and keep your account credentials secure.

5.2 Account Responsibility

You are responsible for all activity that occurs under your account. Notify us immediately at support@matterai.app if you suspect unauthorized access.

5.3 Account Types

• Athlete accounts provide access to personal health tracking, readiness scoring, AI insights, and workout features.
• Coach accounts provide additional access to team management tools, athlete dashboards, and team intelligence features. Coaches may invite athletes to join their team.
• Athletes may belong to one or more coach teams and control which data is shared with each coach.

6. Subscriptions and Billing

6.1 Free and Paid Tiers

Matter AI offers a free tier with limited features and paid subscription tiers (“Athlete Pro” and “Coach”) with additional capabilities. Feature availability may change over time.

6.2 Billing

Paid subscriptions are billed through the Apple App Store. All billing, renewals, and refund policies are governed by Apple's terms and conditions. Matter AI does not process payments directly.

6.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date through your Apple ID settings.

6.4 Price Changes

We may change subscription prices at any time. Price changes take effect at the start of the next billing period following notice to you.

6.5 Refunds

Refund requests must be directed to Apple through their standard refund process, as Apple processes all payments for the App.

7. User Content and Data

7.1 Your Data

You retain ownership of all health data, workout data, wellness survey responses, and other personal content you provide to Matter AI (“User Content”). By using the Services, you grant Matter AI a limited, non-exclusive license to process your User Content solely to provide and improve the Services.

7.2 AI Processing

Your health data is processed by AI models (including Google Gemini) to generate insights, recommendations, and chat responses. This processing is governed by our Privacy Policy. You consent to this processing by using the Services.

7.3 Coach Access

If you join a coach's team, you control which data categories are shared with your coach. You may revoke coach access at any time by leaving the team or adjusting your sharing preferences.

7.4 Prohibited Content

You agree not to use the Services to:

• Upload false, misleading, or fraudulent health data
• Harass, threaten, or harm other users
• Attempt to reverse-engineer, decompile, or extract AI model weights or prompts
• Use the Services for any unlawful purpose
• Circumvent usage limits, rate limiting, or access controls
• Share your account credentials with others

8. Intellectual Property

8.1 Our Property

The Matter AI App, Website, AI models, algorithms, scoring methodologies, design system, and all associated intellectual property are owned by Matter AI, Inc. or its licensors. You may not copy, modify, distribute, or create derivative works from our Services except as expressly permitted.

8.2 Feedback

If you provide suggestions, feature requests, or other feedback about the Services, you grant us a perpetual, irrevocable, non-exclusive license to use that feedback without compensation or attribution.

9. Third-Party Services

Matter AI integrates with third-party services including:

• Apple Health / HealthKit — for reading health and fitness data from your device
• WHOOP — for syncing HRV, recovery, and sleep data via OAuth
• Polar — for syncing heart rate, sleep, and exercise data via AccessLink API
• Google Gemini — for AI-powered insights and chat
• Supabase — for backend data storage and authentication

Your use of these third-party services is subject to their respective terms and privacy policies. Matter AI is not responsible for the availability, accuracy, or practices of third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Matter AI, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services.
• Matter AI shall not be liable for any personal injury, health complication, or physical harm resulting from reliance on readiness scores, workout recommendations, recovery assessments, or any other output of the Services.
• Matter AI's total liability for any claim arising from or related to the Services shall not exceed the amount you paid for the Services in the twelve (12) months preceding the claim, or $100, whichever is greater.
• Matter AI does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant the accuracy, completeness, or reliability of any readiness score, recovery assessment, workout recommendation, or AI-generated output.

12. Indemnification

You agree to indemnify, defend, and hold harmless Matter AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any User Content you provide

13. Termination

13.1 By You

You may stop using the Services and delete your account at any time through the App settings. Account deletion will remove your personal data in accordance with our Privacy Policy.

13.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in harmful behavior, or if we discontinue the Services. We will provide reasonable notice when possible.

13.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including Limitation of Liability, Disclaimer of Warranties, and Indemnification) will survive.

14. Dispute Resolution

14.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at support@matterai.app and attempt to resolve the matter informally for at least 30 days.

14.2 Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall take place in the State of Delaware or remotely, at your election.

14.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in a class action, class arbitration, or representative proceeding.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions.

16. Modifications

We may update these Terms from time to time. Material changes will be communicated through the App or by email. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Matter AI regarding the Services.
